NON DISCLOSURE AGREEMENT
FOR THE MENTOR |
For good consideration, and in consideration of being invited to be a mentor for and on behalf of NATIONAL INNOVATION FOUNDATION (hereafter called NIF), Bungalow No - 1, Satellite Complex, Jodhpur Tekra, Premchand Nagar Road, Ahmedabad – 380 015, Gujarat, India the undersigned visitor/invitee hereby state the following:
I acknowledge that NIF has been set up to scout, document, promote commercial and non commercial applications of green grassroots innovations and is building a ‘National Register of Unaided Technological Innovation and Outstanding Traditional Knowledge'.
I fully agree to the concept of Intellectual property protection of grassroots innovators and holders of traditional knowledge. Further, I will ensure to take all possible measures to protect the same. I shall also exercise due care and diligence to protect the intellectual property of the grassroots innovators and/or holders of traditional knowledge, which I come across during the course of my interaction with NIF.
I undertake not to divulge or disclose any information, which is enumerated below in any manner to any person (s)/organization (s) or third party without the prior written consent from NIF and concerned grassroots innovators and/or holders of traditional knowledge. I further, agree not to use any information belonging to NIF or concerned grassroots innovators and/or holders of traditional knowledge for personal and/or commercial purpose without the prior written consent from NIF. Any necessary divulgence or disclosure shall be made to third parties only after entering into a non-disclosure agreement with the concerned person/ persons/organization and authorization from NIF. |
a) Technical information: Methods, processes, formulae, compositions, systems, Techniques, inventions, trade secrets, know how, machines, computer programs and research projects and any other technical information.
and/or
b) Business information: Customer lists, pricing data, market research, sources of Supply, financial data and marketing, production, or merchandising systems, Plans and any other business information
and /or
c) Any other information, which can be used for carrying out, the purposes of NIF as enshrined in the Memorandum of Association
I agree that I shall not during and or at any time after mentoring work is over, use for myself, or disclose or divulge to others any trade secrets, confidential information, or any other proprietary data of NIF without prior written consent from NIF and concerned grassroots innovators and/or holders of traditional knowledge.
I will not associate myself with any organization or individual or third party which results in conflict of interest with NIF's functions, policies and Object during and after my mentoring/entrepreneurship and studentship.
That upon the termination of my Services as mentor with the NIF, I will return to NIF all documents and property of NIF, irrespective of the way in which I obtained it during the course of my Services as mentor, including but not necessarily limited to: drawings, blueprints, reports, manuals, correspondence, customer lists, computer programs, and all other materials and all copies thereof relating in any way to the NIF's activities.
The NIF may notify regarding my services as mentor for and on behalf of NIF to any concerned party and the existence of this agreement, and shall be entitled to full injunctive relief for any breach. This agreement shall be binding upon me and my representatives and successors in interest. |
